When can a creditor go after the owners of a corporation?
As a rule, a corporation is a person separate from its owners, so its debts are its own (Revised Corporation Code, Sec. 2). But that separate personality is not a shield for fraud. Courts pierce the corporate veil only when all three tests are met.
Switch each test on and watch the veil.
The three-prong test: Concept Builders, Inc. vs. NLRC, G.R. No. 108734, May 29, 1996; Kukan International Corporation vs. Reyes, G.R. No. 182729, September 29, 2010.
1 OF 3 TESTS MET
VEIL STANDS
No piercing. Only the corporation answers for its debts.
Missing: fraud or wrong, harm. Same owners, a similar name or a title is not enough. Each test needs clear evidence.
